Affiliate Program Terms and Conditions
Plarium Global Ltd. an Israeli corporation with an address at 2 Abba Eban Blvd., Herzliya, 4672520, Israel ("Plarium") 
and you as the Publisher agree to the following terms and conditions (the "Agreement"). This Agreement describes the 
terms and conditions under which Plarium will purchase advertising from the Publisher. 
1. DEFINITIONS 
1.1 “Traffic Restrictions” Incent, Custom Creative, Adult, SMS, Google Adwords (brand kw – Raid Shadow 
legends/Mech Arena), click spamming, pre-cached clicks, cookie dropping, pop/ click under, PPV.
1.2 "Actual Net Advertising Cost” is defined as the total Deliverables achieved times the price (rate) per 
Deliverable as specified on the offer page. 
1.3 “Affiliate” with respect to a party, means a corporation, partnership or other entity controlling, controlled by or 
under common control with such party. For purposes of this definition, “control” means ownership, directly or 
indirectly, of at least fifty percent (50%) of the voting rights in such entity (or, in the case of a non-corporate 
entity, equivalent rights).
1.4 "Agreement" means the IO and these terms and conditions.
1.5 "Campaign" means the details of the advertising campaign, the specifics of where, how and when a Creative is 
to be displayed, including the type of Creative, placement of the Creative, type of Deliverable, number of 
Deliverables to be achieved, price per Deliverable, and the dates during which a Creative is to be displayed, all 
as set forth in the IO.
1.6 “Creative” is herein defined as any graphic file and/or any and all accompanying printed, hand written or 
electronically transferred information, including video clips, supplied by Plarium to Publisher to be displayed 
for advertising purposes. 
1.7 “CPC” is herein defined as Cost-Per-Click, a specific kind of deliverable which is achieved by a user clicking 
on a given Creative and thereby being directed to a selected webpage.
1.8 “CPM” is herein defined as Cost-Per-Mille, a specific kind of deliverable which is achieved by one thousand 
displays of a Creative. 
1.9 “CPI” is herein defined as Cost-Per-Install, a specific kind of deliverable which is achieved by a user that 
installed the Game as recognized by an agreed tracking system. 
1.10 “CPE” is herein defined as Cost-Per-Effective, a specific kind of deliverable which is achieved by a user 
completing a certain action. 
1.11 “CPA” is herein defined as Cost-Per-Action, a specific kind of deliverable where the advertiser pays for a 
specific action by a user. 
1.12 “CPD” For every New Player (as defined hereunder), where the action will be an In-Game Purchase in the 
accumulated value and term to be determined, from the date the New Player has downloaded the Game and 
registered with a new Game account (the “Action” and the “Game Account” respectively), the Publisher shall 
be entitled for the Fee as agreed by the Parties and detailed in section 4 herein. The Publisher shall be entitled 
for the Fees only for New Players with a valid Game Account and an active Player Id, as defined in this 
agreement. For the purpose of this section and Agreement, "In-Game Purchase” shall mean the purchase 
conducted by a Player within the Game, in order to purchase in-game virtual items (including but without 
limiting: packages, subscriptions, points or alike) which are offered to Players within the game, and are available 
only for purchase and use within the Game, and all in accordance with the Game and/or Plarium Terms and 
Conditions. Without derogating from any of the Parties right to Terminate this Agreement, as defined in section 
8 below, Plarium shall be entitled, under its sole consideration, to order the Publisher to seize any activity that 
it has reasonable grounds to believe that is contrary to the obligation set forth in this section herein
1.13 "CPL" is herein defined as Cost-Per-Lead, a specific kind of deliverable where the advertiser pays for an explicit 
sign-up from a user interested in the advertiser's offer. 
1.14 “Deliverable” is herein defined as a measurable result of the display of Creative (i.e. CPC, CPM, CPI, CPE, 
CPA, CPL).
1.15 "Effective Date" is the date you select an offer from the offer page. 
1.16 "Fraud" means by way of example only and without limitation, actual or attempted (i) a chargeback executed 
by a Player, (ii) the offering or providing by Publisher or any third party of any unauthorized incentives (financial 
or otherwise) to potential Players, (iii) deposits, revenues or traffic generated through illegal means, and (iv) any 
other act by Publisher or by a Player which is understood to have been committed in bad faith against Plarium 
or to defraud Plarium (as determined by Plarium in its sole discretion) regardless of whether or not such action 
has resulted in any type of harm or damage to Plarium (including without limitation payments generated on 
stolen credit cards, manipulation of the service or system, bonuses or other promotional abuse, and unauthorized 
use of any third party funds, copyrights, trademarks and other third party Intellectual Property Rights (which for 
the avoidance of doubt includes Plarium's Intellectual Property Rights)).
1.17 “Game” shall mean Plarium’s Game(s) as specified in the offer page.
1.18 "Intellectual Property Rights" shall mean on a worldwide basis, any and all now known or hereafter known 
(a) rights associated with works of authorship including copyrights and moral rights, (b) trademark and trade 
name rights and similar rights, (c) trade secret rights, (d) patent rights and other industrial property rights, (e) 
intellectual and industrial property rights of every other kind and nature and however designated, whether arising 
by operation of law or otherwise, and (f) all registrations, applications, renewals, extensions, continuations, 
divisions, or reissues thereof now or hereafter existing, made, or in force (including any rights in any of the 
foregoing).
1.19 “IO” is herein defined as an offer by Plarium on the offer page, describing the advertising Campaign for the 
Game(s). 
1.20 “New Player” shall mean only a Player (as defined below) that has downloaded and installed the Game on their 
mobile device and/or to PC device (where applicable) (the “Device”) for the first time and accordingly opened 
a Game Account and a Player Id, in accordance with Plarium Terms and Conditions, within the Term of this IO; 
No Players with an Active Game account and a Player Id created before the Term of this IO will be regarded as 
a New Player for the purposes of this Agreement. RE-INSTALATION OF THE GAME WILL NOT BE 
ACCOUNTED AS A “NEW PLAYER” FOR THE PURPOSE OF THIS IO. A New Player does not include a 
player that has previously installed the Game on a Device prior to the Campaign Start Date or re-installed on a 
device. In this case, the Publisher shall not be entitled to any Fee.
1.21 “Player” shall mean any player of a Game(s) who has agreed to the Game(s)’ Terms of Service, Privacy Policy, 
and licensed or otherwise accessed a Game(s) directly from Plarium's website, as a direct result of Publisher's 
activities pursuant to the Campaign set forth in this IO.
1.22 "Publisher Sites" means its own website and, where applicable, those of its affiliate network or other 
applications and/or applicable locations.
2. PURPOSE OF ENGAGEMENT
Advertiser wishes to promote its Games to Players by engaging Publisher to place the Creative on the Publisher 
Sites, all subject to and in accordance with the terms and conditions set forth in this Agreement.
3. GRANTS. 
3.1 Use of Creative. During the Term, Plarium grants Publisher a non-exclusive, non-transferable, revocable license 
to use, reproduce, transmit and distribute the Creative, solely in order to promote the Game in accordance with 
the Campaign details set forth in the IO. Publisher may use the Creative for as long as this Agreement is in effect. 
3.2 Restrictions. Publisher shall not modify the Creative in any way without Plarium's prior written consent, 
including with respect to any compression of video clips, which will require Plarium's approval prior to 
publication. Publisher shall only use the Creative in accordance with the terms of this Agreement, any guidelines 
Plarium may provide from time to time and any applicable laws. 
3.3 Trademark and Copyright License for Games Marketing. Plarium hereby grants to Publisher a non-exclusive 
royalty-free license, during the Term, to use, publicly display and perform, distribute and display the trademarks, 
including logos (of Plarium as used in the Game(s)) and materials from the Game(s) (e.g., screenshots, movies, 
etc.) (the “Marks”) as part of or in connection with promotion and marketing of the Game(s).
3.4 Ownership; Reservation of Rights. Except as expressly provided herein, as between Publisher and Plarium, 
Plarium retains all rights, title and interest, including all Intellectual Property Rights, in and to the Game(s), the 
Creative and the Marks, and Publisher retains all rights, title and interest in Publisher’s trademarks, logos and 
service marks. All rights not expressly granted hereby are reserved by each of the parties.
3.5 Except as permitted by Plarium in writing, Publisher may not incorporate or include any Third-Party Materials 
into the Deliverables. “Third-Party Materials” mean (i) any materials that Publisher has not independently 
created, including the outputs of generative AI programs, and (ii) any materials that would require Plarium to 
obtain any license, consent, permission, waiver, release or other agreement of any third party in order to make 
use of the Deliverables.
4. PAYMENT 
4.1 Fees. During the term of this Agreement and during any renewals thereof, Plarium will pay Publisher the Actual 
Net Advertising Cost. 
4.2 Invoices. The parties may agree on prepayment for any or all Insertion Orders. Unless Plarium has prepaid, 
Publisher will be paid by Plarium (through Everflow Pay systems) on a monthly basis, after the end of the month 
during which the terms of the IO were met. Payments shall be based on Publisher’s deliverable measurements, 
as tracked by Publisher's reporting system. In the event of any contradiction between Plarium's and Publisher's 
tracking system, Plarium's tracking system will prevail. 
4.3 Payment. Payments will be provided to Publisher by Plarium (through Tipalti systems) within thirty (30) days 
net . In the event that an invoice is for an amount that is less than $500, it will be paid with the subsequent 
invoice until accumulated to above $1,000. 
4.4 Fraud. Plarium retains the right to review all revenue for possible Fraud. During the period of time in which 
Plarium shall review the revenue for possible Fraud, where such review period shall not exceed 60 days from 
the last Deliverable, Plarium shall have the right to withhold any fees due to Publisher until such time as the 
review has been concluded and subject to the conclusions of such review. Any incidence of Fraud constitutes a 
breach of this Agreement, and Plarium retains full authority to terminate this Agreement immediately in the 
event of such breach. Further, in the event that Plarium deems that Fraud has occurred, Publisher shall not be 
entitled to receive any Fees which have accrued to its benefit at such time whether such Fees were generated 
through Fraud or otherwise. Plarium retains the right to set-off from future Fees payable to Publisher any 
amounts already received by Publisher which can be shown to have been generated by Fraud.
4.5 Taxes, Fees. Each party is solely and separately responsible for its own taxes, fees, or other levies. 
4.6 Deliverables. Plarium shall not be charged for more than the total maximum Deliverables specified on a given 
IO. Publisher shall be under no obligation to achieve any minimum number of Deliverables. 
5. WARRANTIES, INDEMNITIES, AND LIMITED LIABILITY 
5.1 Warranties. Both parties hereby represent that they are authorized to enter into this Agreement. EXCEPT AS 
EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER PARTY MAKES AND EACH PARTY 
SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, 
INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, 
TITLE AND NONINFRINGEMENT, AND WARRANTIES IMPLIED FROM COURSE OF DEALING OR 
PERFORMANCE. 
5.2 Plarium’s Representations. Plarium represents and warrants that: (1) It is the owner or is licensed to use the 
entire contents and subject matter contained in the Creative; (2) the Creative does not contain any virus, Trojan 
horse, worm, or software which could cause injury to any party; (3) to the best of its knowledge, the Creative 
does not infringe any third party copyright, trademark, patent, or other proprietary right; (4) it conducts its 
business in compliance with all applicable laws, rules and regulations, including without limitation applicable 
data protection law; and (5) the execution of this Agreement and the performance of its obligations hereunder 
will not conflict with or cause a breach or violation of any agreement, law, regulation or other obligation to 
which Plarium is a party or subject. 
5.3 Publisher's Representations. Publisher represents and warrants that: (1) All content, products, and services on 
the Publisher Sites are legal to distribute, and it owns or has the legal right to use, and will not infringe upon any 
third party copyrights, trademarks, patents or other proprietary rights appearing on the Publisher Sites; (2) any 
creative material supplied by the Publisher shall comply with the Plarium's ad creatives guidelines available at 
this link, and will not, to the best of its knowledge, infringe any third party copyright, trademark, patent, or other 
proprietary right; (3) the Publisher Sites are free of any "worm", "virus", "malware" or other device that could 
impair or injure any person or entity; (4) it conducts its business and will activate the campaign described in the 
Insertion Order in compliance with all applicable laws, rules and regulations, including without limitation 
applicable data protection laws; (5) the execution of this Agreement and the performance of its obligations 
hereunder will not conflict with or cause a breach or violation of any agreement, law, regulation or other 
obligation to which Publisher is a party or subject; (6) it shall not direct any marketing, advertising, or other 
promotional material to children under the age of 16, or to any other individuals whose age is known to be below 
the age limit set by applicable law whichever is older at the performance of this Agreement; and (7) it shall not 
solicit or encourage, in any form or way, New Player(s) to make In-Game Purchases, including publishing, 
promoting or promising New Players to compensate them with any kind of payment, reimbursement, a gift or a 
prize, as a consideration for making In-Game Purchases. Without exhausting, the Publisher shall not impose 
any condition on New Player or shall represent that there are any condition/s precedent in order to receive any 
kind of consideration from the publisher, including to set a condition to download the Game and registered as a 
New Player. Any activity that the Publisher is considering in order to promote his business, including providing 
prizes to its customers, shall be conducted without making any references to In-Game Purchases.
5.4 Indemnification. Subject to the limitation of liability herein, each party (the "Indemnifying Party") will defend, 
indemnify and hold harmless the other party (the "Indemnified Party") from and against any and all liabilities, 
losses, damages, costs and expenses (including legal fees and expenses) associated with any third party claim or 
cause of action brought against the Indemnified Party arising out of or related to a breach by the Indemnifying 
Party of its representations warranties, obligations or covenants as set forth in this Agreement. The foregoing 
indemnity obligations shall apply provided that the Indemnified Party (i) promptly notifies the Indemnifying 
Party in writing of any such claim (provided that failure to provide timely notice will not alter the Indemnifying 
Party's obligations except to the extent that it is materially prejudiced thereby), (ii) allows the Indemnifying 
Party, at its sole expense, to direct the defense of such claim, (iii) gives the Indemnifying Party full information 
and reasonable assistance which is available to the Indemnified Party and is useful or necessary to defend such 
claim, and (iv) does not enter into any settlement of any such claim, without the Indemnifying Party's consent, 
which shall not be unreasonably withheld. 
5.5 Limited Liability. Neither party shall be liable to the other party or any third party claimant for any indirect, 
special, punitive, consequential, or incidental damages, including, lost profits arising out of, or related to this 
Agreement, however caused and on any theory of liability including but not limited to negligence, even if such 
party has been advised of the possibility of such damages. In any event, each party's total liability to the other or 
any third party claimant, in respect of any losses arising under or in connection with this Agreement or related 
thereto, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no 
circumstances exceed an amount equal to the total fees paid by Plarium to Publisher as set forth herein. For the 
avoidance of doubt, nothing in this Agreement excludes or limits either party’s liability for willful misconduct, 
fraud, gross negligence or any other matter to the extent such exclusion or limitation would be unlawful. Except 
as otherwise set forth herein, no action arising under or relating to this Agreement, regardless of its form, may 
be brought by either party more than 6 months after the cause of action has accrued and in any event no later 
than 3 months after the termination of this Agreement. The limitations in this section shall not apply to either 
party’s indemnification obligations under this Agreement. 
6. CONFIDENTIAL INFORMATION
Neither party shall disclose or use the other party’s confidential information for any purpose other than the 
purposes contemplated by this Agreement, unless such disclosure or use is allowed by written permission of the 
other party. However, either party may disclose the other party’s confidential information to the extent required 
by applicable law, but only after five (5) days prior written notification to the other party of such required 
disclosure. Plarium’s confidential information shall remain the property of Plarium, and Publisher's confidential 
information shall remain the property of Publisher. 
7. TERM AND TERMINATION 
7.1 Term. This Agreement will commence once you register to the offer page and shall continue unless terminated 
according to this Agreement (the "Term"). 
7.2 Termination. You may terminate this Agreement or any offer, by both: (a) not sending any traffic, and; (b) by
sending a request for termination to Legal.il@Plarium.com. Plarium may terminate this agreement or any offer 
from the offer wall, at any time without giving any notice. 
7.3 Effect of Termination. Upon termination or expiration of this Agreement for any reason, Publisher shall remove 
all of the Creative. Publisher will send Plarium a final invoice within thirty (30) days after termination, and 
Plarium will issue payment thirty (30) days thereafter. In the event of any prepayment, Publisher will reimburse 
Plarium the unused balance remaining in the account upon termination of this Agreement for any reason and in 
any event within 14 days of Plarium's written request which may be provided at any time and for any reason.
7.4 Survival. Sections 4 - 11 will survive the termination of this Agreement. 
8. ANTI BRIBERY
8.1 Each party hereby represents, covenants and warrants that it shall not:
(a) violate any applicable laws including (without limitation) any laws in regards to anti-corruption, anti-bribery 
and money laundering (any such violation being a material breach of this Agreement), and shall promptly notify 
the other party in writing in the event of any actual or alleged violation of such laws; and
(b) during the term of this Agreement, nor shall any of its directors, officers or employees engage (or cause another 
party to engage) in any activity that is, or is reasonably likely to be, in breach of Article 8.1(a).
8.2 If either party is subject to any regulatory investigation as a result of the actions of the other party, the other 
party shall indemnify the party under investigation for any costs associated, and shall fully co-operate with, such 
investigation.
8.3 If either party receives any requests for bribes from any third party relevant to this Agreement, such party shall 
promptly report this request to the other party.
8.4 If either party reasonably believes that a breach of any of the representations, covenants or warranties contained 
within Article 8.1 has occurred, or is reasonably likely to occur, said party may terminate this Agreement 
immediately and pursue all available remedies.
8.5 Notwithstanding Article 8.4, in the event an applicable court of law or tribunal finds a breach of any 
representations, covenants or warranties under Article 8.1 by a party, this Agreement will automatically 
terminate and the party found to be in breach shall indemnify the other party and its directors, employees and 
Affiliates in respect of any damages, losses, fees and costs (including, without limitation, audit costs) incurred 
by that other party as a result of or in relation to such breach.
8.6 Publisher hereby represents that it has not been offered payment(s) or benefit(s) to enter into this Agreement, 
except those contractual benefits expressly set out in this Agreement.
9. PROTECTION OF PRIVACY
9.1 Publisher must comply with the Privacy Legislation, and do all things requested in writing by Plarium (acting 
reasonably) to enable Plarium to comply with all requirements of the Privacy Legislation to the extent it is
considered commercially practicably by Publisher. 
9.2 Without prejudice to the generality of Article 9.1, Publisher must, in relation to any Personal Information (per 
the definition provided under the relevant Privacy Legislation) collected, processed, used or held in connection 
with the performance by Publisher of its obligations under this Agreement:
(a) use such Personal Information only for the purpose of fulfilling its obligations under this Agreement;
(b) unless required by law, not disclose such Personal Information without the prior written consent of Plarium;
(c) ensure that it has in place appropriate physical, technical and organizational measures to protect against 
unauthorized or unlawful processing of Personal Information and against accidental loss or destruction of, or 
damage to, Personal Information; and
(d) not disclose, allow access to or transfer any Personal Information to any person or entity (including itself) without 
Plarium's prior written consent. Publisher shall transfer, disclose or allow access any Personal Information only 
to third parties having imposed the same data protection obligations as are imposed on Publisher under this 
Agreement. 
9.3 Without limitation to the generality of the foregoing, Publisher is specifically prohibited from selling Personal 
Information and from retaining, using, or disclosing Personal Information for a commercial purpose other than 
providing the services as specified in this IO or in any manner outside of the direct business relationship between 
Publisher and Plarium. Publisher acknowledges and agrees that its execution of the IO constitutes its certification 
that it understands the restrictions set forth in this paragraph and will comply with them.
9.4 In this Article, “Privacy Legislation” means any applicable analogous legislation in any jurisdiction as varied 
from time to time and “Personal Information” has the meaning given to that term in the Privacy Legislation.
9.5 Clarification of Data Nature and Ownership
Publisher acknowledges that the data shared by Plarium or with Plarium (e.g., Click ID) in relation to the 
services is pseudonymous and not directly identifiable by the Publisher. Publisher agrees that any 
identification or re-identification of such data is strictly prohibited unless expressly authorized in writing by 
Plarium.
9.6 In relation to data collected through Publisher i.e: postbacks and click IDs, Publisher must:
(a) Limit Usage Scope: Use postback and click ID data solely in relation to the services for Plarium and for 
performance measurement, attribution, and reporting, or as explicitly authorized in writing by Plarium.
(b) Restrict Data Linking: Avoid combining postback or click ID data with other datasets that could directly or 
indirectly lead to the identification of an individual unless explicitly authorized by Plarium in writing and 
compliant with applicable Privacy Legislation.
(c) treat Click IDs and any associated pseudonymous data shared by Plarium as confidential information. 
Publisher must not attempt to identify or attribute this data to individuals or transfer this data to any third 
party, except as expressly permitted by Plarium
(d) Implement Robust Security Measures: Apply technical and organizational measures to protect postback 
and click ID data against unauthorized access, disclosure, alteration, or destruction, ensuring the 
confidentiality, integrity, and availability of such data.
(e) Retention and Disposal: Retain postback and click ID data only for as long as strictly necessary to fulfill 
the purposes outlined in this Agreement. Upon expiration of the retention period or termination of this 
Agreement, securely delete or anonymize all such data in accordance with applicable Privacy Legislation and 
industry standards.
9.7 Audit Rights
Plarium reserves the right to audit Publisher’s compliance with the data protection obligations under this 
Agreement, upon providing reasonable notice. Publisher agrees to provide all necessary access, 
documentation, and support for such audits.
9.8 Subprocessor Approval and Obligations
Publisher shall not engage any subprocessor to process the data shared by Plarium without Plarium’s prior 
written consent. Publisher shall ensure that any subprocessor imposes data protection obligations equivalent to 
those in this Agreement and remains fully liable for any actions or omissions of such subprocessor.
9.9 Publisher must notify Plarium without undue delay (and, in any event, within 24 hours) via 
security@plarium.com of any unauthorized access, disclosure, or use of postback and click ID data, or any 
breach involving such data, including any risks to the pseudonymized status of the data, and cooperate with 
Plarium to mitigate any resulting harm and comply with reporting obligations under applicable Privacy 
Legislation.
10. REGULATORY TERMINATION
Plarium may terminate this Agreement immediately without liability upon written notice for regulatory reasons, 
including a recommendation by a regulatory authority, that the Agreement should be terminated. For the purpose 
of this Clause, Regulatory Authority shall mean all foreign, international, national, federal, state or local 
governments, governmental institutions, public authorities and governmental entities of any nature whatsoever, 
and any subdivisions or instrumentalities thereof.
11. Trade Control and Sanctions Compliance
11.1 You agree that in performing this Agreement, you will comply with all applicable economic sanctions, export 
control laws, and anti-boycott laws. Each party represents and warrants that it, and any parent, subsidiary, 
affiliate, or associated company involved in performing this Agreement is (a) not included on any restricted party 
list maintained by any relevant government authority, including the U.S. Specially Designated Nationals List 
and Foreign Sanctions Evaders List (“Restricted Party Lists”); (b) it is not owned or controlled by anyone on 
a Restricted Party List; and (c) in the performance of this Agreement, it will not do business with or provide 
goods or services, directly or indirectly, to anyone on the Restricted Party Lists or to any country with which 
trade is prohibited by any applicable sanctions. Notwithstanding any other provision of this Agreement, the nonbreaching party may immediately terminate this Agreement without providing any cure period if the other party 
breaches this provision. The Restricted Party Lists shall include, and shall not be approached or serviced subject 
to applicable laws the territories of: Iran, Syria, Lebanon, Cuba, Republic of Korea (North), Sudan, South Africa,
Republic of Russia, and Crimea. The List of Restricted Geos may be updated from time to time, in its sole 
discretion by notice of the Company. Such restriction by the Company of a country or territory from the Territory 
will not be deemed a breach of this Agreement and will be deemed automatic upon the date of such written 
notice.

11.2 Notwithstanding anything to the contrary herein, if at any time during the Term hereof there are any applicable 
Laws or regulations that prohibit Plarium from selling to or trading with a particular country or territory or 
otherwise prohibit you from completing an offer from the offer page, or Plarium from offering in such country 
or territory, then, effective as of such time and continuing for so long as such Laws or regulations are in effect, 
the IO and Agreement hereunder will terminate solely as to such country or territory and such country or territory 
will be excluded from the offer. 
12. GENERAL 
12.1 Notices. Any notice required herein shall be delivered by hand, email, fax, courier service or by registered or 
certified mail, return receipt requested, postage prepaid. A notice shall be addressed to the other party at the 
address listed in the IO, or to another address which may subsequently be specified in writing by a party. A 
notice shall be effective two (2) days after being delivered by hand, courier service, email or by fax, and five (5) 
days after being sent by mail.
12.2 Independent Contractors. The parties are independent contractors, and neither party will be deemed to be an 
employee, agent, partner, or legal representative of the other. Neither party will have any right, power or 
authority to create any obligation or responsibility on behalf of the other. 
12.3 Assignment. This Agreement may not be assigned by either party without the prior written consent of the other 
party, which consent will not be unreasonably withheld. Notwithstanding the foregoing, either party may assign 
this Agreement or assign or delegate its rights and obligations under this Agreement to an Affiliate or to a 
successor to all or substantially all of its business or assets relating to this Agreement whether by sale, merger, 
operation of law or otherwise. Subject to the foregoing, this Agreement will be binding upon and inure to the 
benefit of the parties hereto, their successors and assigns. 
12.4 Waiver. The failure of a party to require performance by another party of any provision hereof shall not affect 
the full right to require such performance at any time thereafter; nor shall the waiver by either party of a breach 
of any provision hereof be taken or held to be a waiver of the provision itself. 
12.5 Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to 
law, the provision shall be modified by the court and interpreted so as best to accomplish the objectives of the 
original provision to the fullest extent permitted by law, and the remaining provisions of this Agreement shall 
remain in effect. 
12.6 Jurisdiction. This Agreement shall be governed by the laws of the State of Israel without regard to conflicts of 
law provisions. Any dispute arising out of this Agreement or the interpretation thereof, shall be discussed by the 
parties in the first instance, and if possible resolved by negotiation. In the event that the matter cannot be so 
resolved, it shall be submitted to and determined by arbitration, by a single arbitrator, in accordance with the 
rules of the Israeli Institute of Commercial Arbitration. The seat and place of arbitration shall be Tel Aviv, Israel 
and the Hebrew or English language, as applicable, shall be used throughout the arbitral proceedings.
12.7 Counterparts. This Agreement may be executed in multiple counterparts, each of which will be considered to 
be an original, but all of which together will constitute one and the same instrument. 
12.8 Entire Agreement and Modification. This Agreement (together with the applicable IOs) constitutes the entire 
agreement between the parties concerning the subject matter hereof. This Agreement replaces and fully 
supersedes any prior verbal or written understandings, communications, or representations between the parties. 
This Agreement shall not be modified except by a subsequently dated written or electronic amendment signed 
or otherwise executed on behalf of Plarium and Publisher by their duly authorized representatives, and any 
purchase order purporting to supplement or vary the provisions hereof shall be void.
an employee or representative of, or otherwise acting for or on behalf of, a person or entity on a Sanctions List, or (3) located or ordinarily resident in, or otherwise providing services to Plarium from, a country or territory subject to comprehensive sanctions, which are currently, Afghanistan
